TERMS OF SERVICE

By using our website or entering into a service agreement with ODST Labs, you agree to the following terms:

Services We Offer

ODST Labs provides website design, development, and management services, as well as analytics, social media, on-premise and cloud servers, and email campaign services. Specific deliverables and service expectations are outlined in individual agreements.

Ownership & Rights

Unless otherwise agreed upon in writing, once full payment has been received, all intellectual property rights in your website and associated content belong to you.

ODST Labs retains the right to display work we’ve completed for you—including your website, logo, and visuals—in our portfolio, promotional materials, and case studies.

If you'd prefer your project not be used in marketing, you must submit a written request prior to project completion.

Client Content & Submissions

By submitting content (including text, graphics, photos, videos, or other materials) to ODST Labs, you grant us a limited, non-exclusive license to use, edit, and display that content for the purpose of providing the agreed-upon services.

You confirm that:

• You own or have the right to use all submitted content.

• Your content does not infringe on third-party rights.

• You authorize ODST Labs to use submitted materials in connection with your project delivery, promotion, or functionality.

You retain full ownership of your original materials.

Social Media Management & Digital Marketing

For clients using our social media, marketing, or content creation services:

• All social media content produced by ODST Labs (graphics, videos, captions, strategies, etc.) remains the intellectual property of ODST Labs until full payment for services has been received.

• You may not reuse, repurpose, or resell any campaign materials outside the scope of the agreed service without written consent.

• Access to our project dashboards, scheduling systems, and analytics tools is provided solely for client reference and may be revoked if payments lapse or agreements end.

ODST Labs reserves the right to retain archived copies of completed social media or marketing campaigns for training, quality assurance, and portfolio purposes.

Content & Access

You are responsible for providing accurate and original content. You must not upload or request content that violates copyright, is unlawful, or infringes on others’ rights.

We may need limited access to your hosting, DNS, domain registrar, or social accounts to deliver your services securely and effectively. You authorize ODST Labs to make necessary configuration changes while following best practices for security and data protection.

Client Confidentiality

We treat all confidential information you share with us with care. We will not share sensitive client data, strategy documents, or internal communications without your permission.

Payments & Cancellations

Payment terms are outlined in each individual agreement.

Late payments may result in paused services or restricted access to managed systems, analytics, or content libraries.

If you choose to cancel a service, fees already paid are non-refundable unless otherwise specified.

ODST Labs Ltd. Co. (“ODST,” “we,” “our,” or “us”) uses trusted third-party payment processors to handle all transactions made through our website or other digital platforms. These payment providers (such as Stripe, PayPal, or comparable services) are responsible for collecting, processing, and securing your payment information in accordance with their own privacy policies and terms of service.

ODST does not store or have access to your full payment information, including credit card numbers or banking details. All transactions are encrypted and processed through secure, PCI-compliant systems that meet industry standards for data protection.

While we take reasonable measures to ensure that we partner only with reputable and secure payment processors, ODST is not responsible for any errors, data breaches, or security failures that occur on the part of these third-party services. Your interactions with any payment processor are governed solely by that provider’s own terms and policies.

By submitting payment through our website, you acknowledge and agree that your payment information will be processed by a third-party service and that ODST Labs Ltd. Co. is not liable for any damages, losses, or claims arising from the use of such payment processors.

Prepaid or Subscription Services

Prepaid retainers or subscriptions (e.g., ongoing management, hosting, or support plans) are valid for the period specified in your agreement. Unused time or credits expire at the end of the term unless renewed. Extensions or refunds may be granted at ODST Labs’ sole discretion.

Warranties & Limitations

We guarantee that our websites and systems will function as outlined in your agreement. However, no service is entirely free from bugs, updates, or occasional issues.

ODST Labs is not liable for indirect, incidental, or consequential damages related to service interruptions, security breaches, or third-party failures.

Termination

Either party may terminate an agreement in writing if the other breaches the terms. Services rendered before termination are non-refundable. If a client’s behavior or activity violates this agreement (including nonpayment or intellectual property misuse), ODST Labs reserves the right to suspend or terminate all associated services immediately.

Educational Content & The Lab Notes Blog

ODST Labs regularly publishes content through The Lab Notes, our official blog. You'll find everything from digital privacy tips and tech breakdowns to founder perspectives, business growth insights, and the occasional off-topic post that explores life beyond the screen.

All content is for informational purposes only and does not constitute legal, cybersecurity, or business advice.

System Access & Responsibility

By engaging us for server management or technical services, you authorize ODST Labs to access and modify system configurations as needed. While we follow best practices to protect your infrastructure, you acknowledge that technical risks exist and agree to hold us harmless for disruptions outside our control (e.g., ISP outages, hardware failure, or third-party software issues).

We are not liable for data loss, downtime, or damages resulting from pre-existing issues, misconfigurations, or external hosting environments not under our direct control.

Future Digital Services & Platform Expansion

Our services and digital platforms may evolve over time. This agreement applies to all current and future ODST Labs digital products, services, and systems—including but not limited to web-based tools, hosted content, analytics dashboards, AI or automation services, client portals, and any other digital environments developed or managed by ODST Labs.

All digital materials, source code, databases, designs, media, and proprietary processes created or provided by ODST Labs remain protected under these Terms of Service and may not be copied, redistributed, or reverse-engineered without our written consent.

Governing Law

These Terms of Service shall be governed by and construed under the laws of the State of Georgia, without regard to conflict of law principles.
